Terms of use

(A Buy Now Pay Later Platform)
These Terms of Use (“Terms”) govern your access to and use of the Platform, mobile application, website, and related services (collectively, the “Service”) operated by Pine Ltd. (“Company”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Terms

1.1 Eligibility
You must be at least 18 years old, legally resident in Nigeria, employed with a verifiable salary account, and meet our credit and eligibility criteria to use the Service. We reserve the right to verify your identity, employment, income, and creditworthiness at any time.

1.2 Nature of the Service
The Service enables eligible users (“Buyers”) to purchase goods or services through the Platform on a deferred payment basis (“Buy Now Pay Later” or “BNPL”). Financing is provided by our capital partner(s). You receive the item immediately (or as arranged with the merchant), and repay the purchase amount (plus any applicable fees or charges) in agreed instalments, typically deducted or debited from your salary account.

1.3 Account Registration
You must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify us immediately of any unauthorised use.

1.4 Purchase and Financing Process

  • a). You select an item and apply for BNPL financing.
  • b). We and/or our capital partner assess eligibility.
  • c). Upon approval, the capital partner finances the purchase.
  • d). You authorise recurring deductions or direct debits from your salary account (or other nominated account) for the instalments.
  • e). Ownership of the item may remain with the capital partner or merchant until full payment is received, depending on the specific product terms.

1.5 Repayment Obligations
You agree to repay the full amount financed, including any fees, interest, or charges disclosed at the time of purchase, strictly according to the repayment schedule. Failure to pay on time constitutes a default.

1.6 Authorisations
By using the Service you irrevocably authorise us and our capital partner to:

  • a). Access and verify your employment, salary, and bank account information.
  • b). Initiate direct debits, standing orders, or salary deductions.
  • c). Share necessary data with credit bureaus, collection agencies, and regulatory bodies.
  • d). Report your repayment behaviour to credit reference agencies.

1.7 Fees and Charges
All applicable fees, interest, late payment charges, and other costs will be clearly disclosed before you confirm a purchase. You are responsible for paying them in addition to the principal amount.

1.8 User Conduct
You agree not to:

  • a). Provide false or misleading information.
  • b). Use the Service for illegal purposes or to purchase prohibited items.
  • c). Attempt to circumvent eligibility checks, credit limits, or repayment obligations.
  • d). Interfere with the proper functioning of the Platform.

1.9 Intellectual Property
All content, trademarks, logos, software, and materials on the Service are owned by or licensed to the Company. You may not copy, modify, distribute, or create derivative works without prior written consent.

1.10 Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.

2. Limitations

2.1 No Guarantee of Approval
Submission of an application does not guarantee approval. We and our capital partner reserve absolute discretion to approve, decline, or limit any financing request without providing reasons.

2.2 Credit Limits and Restrictions
Your available credit limit, eligible products, repayment tenors, and maximum exposure are determined solely by us and our capital partner and may be changed or withdrawn at any time.

2.3 Service Availability
The Service is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted, error-free, or secure access. We may suspend, restrict, or discontinue the Service (in whole or in part) at any time for maintenance, security, regulatory, or business reasons.

2.4 Third-Party Merchants and Partners
We are not responsible for the quality, delivery, warranty, or performance of goods or services supplied by third-party merchants. Disputes regarding the item itself must be resolved directly with the merchant. Our role is limited to facilitating the financing arrangement.

2.5 Limitation of Liability
To the maximum extent permitted by Nigerian law:

  • a). We and our capital partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • b). Our total aggregate liability arising out of or related to these Terms or the Service shall not exceed the total fees you have paid to us in the six (6) months preceding the claim.
  • c). We are not liable for any loss arising from your failure to maintain accurate account information, delayed or failed salary deductions, bank system failures, or force majeure events.

2.6 No Professional Advice
Nothing on the Service constitutes financial, credit, legal, or tax advice. You should seek independent professional advice before using BNPL products.

2.7 Geographic and Regulatory Limits
The Service is intended only for users in Nigeria who meet regulatory requirements. We make no representation that the Service is appropriate or available in other jurisdictions.

3. Revisions and errata

3.1 Content Accuracy
While we strive to keep information on the Service accurate and up to date, the Platform may contain technical inaccuracies, typographical errors, or incomplete information regarding products, pricing, fees, eligibility criteria, or repayment terms.

3.2 No Warranty on Content
We do not warrant that any description, pricing, or other content is complete, reliable, current, or error-free. Product availability, merchant offers, and financing terms are subject to change without notice.

3.3 Correction of Errors
We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice. If you have already completed a transaction based on incorrect information, the terms actually disclosed and accepted by you at the point of confirmation shall prevail.

3.4 User Responsibility
You are responsible for reviewing all transaction details, repayment schedules, and disclosures carefully before confirming any purchase. Your confirmation constitutes acceptance of the terms presented at that time.

4. Site terms of use modifications

4.1 Right to Modify
We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. Changes may be made to reflect legal, regulatory, operational, or business requirements.

4.2 Notice of Changes
Material changes will be communicated by:

  • a). Posting the updated Terms on the Platform with a revised “Last Updated” date;
  • b). Sending notice to the email address associated with your account; and/or
  • c). In-app notification.

4.3 Continued Use
Your continued access to or use of the Service after the effective date of any modified Terms constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and settle any outstanding obligations.

4.4 Version Control
The version of the Terms in effect at the time you enter into a specific BNPL transaction will govern that transaction, unless a change is required by law or regulation to apply retrospectively.

4.5 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

5. Risks

5.1 Credit and Default Risk
BNPL is a form of credit. Failure to make timely repayments may result in:

  • a). Late payment fees and additional charges;
  • b). Negative reporting to credit bureaus, which can affect your ability to obtain future credit;
  • c). Collection actions, including engagement of debt recovery agents;
  • d). Legal proceedings to recover outstanding amounts;
  • e). Possible impact on your employment if salary deductions are enforced through your employer.

5.2 Interest and Cost of Credit
Depending on the product, financing may attract interest, service fees, or other charges. The total amount you repay may be significantly higher than the original purchase price. You should carefully review the total cost of credit before proceeding.

5.3 Salary Deduction and Account Risks
Authorising deductions from your salary account means payments will be taken automatically and upfront from your salary, by your employer, before you are paid the amount left as salary. If your salary is delayed, reduced, or terminated, you remain fully liable for outstanding instalments. Failed deductions may trigger default consequences.

5.4 Data and Privacy Risks
Use of the Service involves sharing sensitive personal, financial, and employment data with us, our capital partners, credit bureaus, and service providers. While we implement security measures, no system is completely immune to breaches or unauthorised access.

5.5 Platform and Technical Risks
The Service may experience downtime, technical errors, cyber-attacks, or data loss. We are not liable for any inability to access the Platform or complete transactions due to such events.

5.6 Regulatory and Policy Changes
Changes in Nigerian financial regulations, Central Bank of Nigeria guidelines, data protection laws, or consumer credit rules may affect the availability, terms, or legality of the Service. We may be required to modify or discontinue certain features as a result.

5.7 Merchant and Product Risks
We do not guarantee the quality, authenticity, delivery, or after-sales support of items purchased through the Platform. Any defects, non-delivery, or disputes with merchants are outside our responsibility (except where required by applicable consumer protection law).

5.8 Over-Indebtedness Risk
Using multiple BNPL or credit products simultaneously can lead to over-indebtedness. You are solely responsible for ensuring that your total repayment obligations remain within your financial capacity.

5.9 Acknowledgement of Risk
By using the Service, you acknowledge that you understand and accept these risks. You confirm that you have the financial ability to meet the repayment obligations and that you are entering into each transaction voluntarily and with full awareness of the consequences of default.
